Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the CloseMetric website and any related offerings (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

Our Services

CloseMetric provides sales and marketing services for high-ticket businesses, which may include affiliate marketing, paid advertising, email marketing, funnel strategy, and related consulting.

Specific deliverables, timelines, and fees are defined in separate proposals, statements of work, or engagement agreements signed with clients. Where a signed agreement conflicts with these Terms, the signed agreement prevails.

User Responsibilities

You agree to use the Services lawfully and in good faith. You are responsible for the accuracy of information you provide and for maintaining the security of any credentials associated with your use of third-party tools we integrate.

  • Provide truthful and complete information in forms, bookings, and communications.
  • Refrain from attempting to disrupt, scrape, or reverse engineer the website without permission.
  • Comply with applicable advertising, privacy, and consumer protection laws in your jurisdiction.
  • Obtain necessary rights and consents for materials you supply to us for campaigns or creative work.

You may not use the Services to:

  • Violate any law or infringe the rights of others.
  • Transmit malware, spam, or deceptive content through our channels.
  • Misrepresent your identity or affiliation with CloseMetric.
  • Interfere with the security or availability of the website or integrated platforms.

Intellectual Property

All content on this website — including copy, design, logos, graphics, and software — is owned by CloseMetric or its licensors and is protected by intellectual property laws.

You may view and share links to our public pages for personal or non-commercial reference. You may not copy, modify, distribute, or create derivative works without prior written consent.

Third-Party Services

Our website may link to or integrate third-party tools (such as scheduling, analytics, or communication platforms). Those services are governed by their own terms and privacy policies.

CloseMetric is not responsible for the practices, availability, or content of third-party providers.

Disclaimers

The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, CloseMetric disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee specific business outcomes, revenue results, or performance metrics unless expressly stated in a signed client agreement.

Limitation of Liability

To the maximum extent permitted by applicable law, CloseMetric and its directors, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services.

Where liability cannot be excluded, our total aggregate liability for claims arising out of or related to the Services shall not exceed the greater of (a) amounts you paid CloseMetric for the specific engagement giving rise to the claim in the twelve (12) months preceding the event, or (b) one hundred U.S. dollars (USD $100) for website-only use.

Indemnification

You agree to indemnify and hold harmless CloseMetric from claims, damages, and expenses (including reasonable legal fees) arising from your misuse of the Services, violation of these Terms, or infringement of third-party rights resulting from content or materials you provide.

Termination

We may suspend or terminate access to the website at any time if we believe you have violated these Terms or pose a risk to the platform or other users.

Client engagements may be terminated according to the terms of the applicable signed agreement.

Governing Law

These Terms are governed by the laws of the jurisdiction in which CloseMetric primarily operates, without regard to conflict-of-law principles.

Any dispute arising from these Terms or the Services shall be resolved in the courts of that jurisdiction, unless otherwise required by mandatory local law.

Before initiating formal proceedings, parties agree to attempt good-faith resolution by contacting CloseMetric with a written description of the dispute.
